PLEASE READ THIS AGREEMENT CAREFULLY. BY PURCHASING, DOWNLOADING, OR USING ANY PRODUCTS FROM ALMOND SOUND, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST NOT USE THE PRODUCTS.
DEFINITIONS
"Product" refers to the downloadable content provided by Almond Sound, including but not limited to audio recordings, presets, sample packs, wavetables, drum one-shots, loops, and related materials.
"Content" refers to all sounds, data, and other materials included within the Product.
LICENSE GRANT
1.1 Almond Sound grants you a personal, non-exclusive, non-transferable, and non-sublicensable license to use the purchased Product (the "Licensed Product").
1.2 Drum samples provided by Almond Sound are licensed for both commercial and non-commercial use under a royalty-free agreement. Presets, scripts, and other non-sample assets are licensed strictly for personal use and cannot be resold, repackaged, or reused in any commercial product.
1.3 Licenses are granted exclusively to the purchaser and cannot be transferred, shared, or sold to any third party.
INTELLECTUAL PROPERTY RIGHTS
2.1 All intellectual property rights, including but not limited to trademarks, logos, and trade names associated with the Licensed Products, remain the sole property of Almond Sound.
2.2 You are granted no ownership rights to the Licensed Products other than those explicitly outlined in this Agreement.
RESTRICTED USES
3.1 No Standalone Use: You may not use, distribute, or sell the Licensed Products in a way that allows others to extract or reuse them as standalone files (e.g., as part of another sample pack, virtual instrument, or sound library).
3.2 No Machine Learning: The Licensed Products may not be used for any machine learning or artificial intelligence training, testing, or development purposes.
3.3 No Unlawful Use: The Licensed Products may not be used in a manner that promotes violence, hatred, defamation, or any illegal activity.
3.4 No Decompiling: You are prohibited from decompiling, reverse-engineering, or modifying any part of the Licensed Products.
USER CONDUCT AND COMPLIANCE
4.1 You agree to use the Licensed Products in compliance with all applicable laws and regulations.
4.2 You may not share download links or allow others to access the Licensed Products.
4.3 You agree not to attempt to damage, deny service to, hack, crack, reverse-engineer, or otherwise interfere with the Product or its Content.
4.4 Any unauthorized attempts to breach security may result in immediate termination of your license and legal action.
4.5 You agree to indemnify ad hold harmless Almond Sound, it's affiliates, and employees from any claims, losss, or damages arising from your use of the Product in violation of this agreement.
OWNERSHIP OF PROJECTS
5.1 You may incorporate the Licensed Products into new musical compositions, recordings, or projects ("Your Projects").
5.2 You retain full rights to Your Projects, provided they comply with the restrictions in this Agreement (e.g., the Licensed Products are not used as standalone files or accessible to third parties).
5.3 Almond Sound retains all intellectual property rights to the original Licensed Products used within Your Projects.
SUPPORT AND UPDATES
6.1 Almond Sound offers customer support for its Licensed Products. For assistance, please contact: support@almondsound.co.uk.
6.2 Almond Sound reserves the right to update or modify Licensed Products. Continued use of the Licensed Products after such updates constitutes acceptance of the changes.
REFUNDS AND TERMINATION
7.1 Refunds: Refunds are not offered unless requested within 14 days of purchase and the Licensed Product has not been downloaded.
7.2 Termination: This License Agreement may be terminated immediately if you breach any terms. Upon termination, you must cease using and delete all copies of the Licensed Products.
7.3 Upon termination, you must delete all copies of the Product and cease all use.
USE OF SAMPLES
8.1 Almond Sound’s selecta breaks and other samples are provided as significantly modified derivatives of traditional patterns.
8.2 Licensees are solely responsible for ensuring compliance with copyright laws when using these samples in their Projects. Almond Sound advises consulting independent legal advice regarding potential third-party claims.
8.3 Samples provided by Almond Sound are licensed for integration into new musical works and recordings.
COPYRIGHT DISCLAIMER
9.1 Almond Sound does not claim ownership of the original source material from which the selecta breaks are derived but provides significantly transformed versions.
9.2 Almond Sound disclaims all liability for claims related to the Licensee's use of the selecta breaks and requires Licensees to indemnify Almond Sound against such claims.
LIMITATION OF LIABILITY
10.1 Almond Sound provides all Licensed Products "as is" and disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
10.2 Almond Sound’s liability for any claim shall not exceed the amount paid for the Licensed Product or £100, whichever is greater.
10.3 Almond Sound shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the Licensed Products.
TAXES
11.1 You are responsible for paying any sales, use, or value-added taxes (VAT) applicable to your purchase of the Licensed Products.
GOVERNING LAW AND DISPUTE RESOLUTION12.1 This Agreement is governed by the laws of England and Wales.
12.2 Any disputes shall first be resolved through arbitration. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
ACKNOWLEDGMENT OF UNDERSTANDING
13.1 By purchasing or using the Licensed Products, you acknowledge that you have read and agree to be bound by this Agreement.
13.2 Any updates to this Agreement will be posted at: https://www.almondsound.co.uk/eula. Continued use of the Licensed Products constitutes acceptance of any updated terms.
